ServiceNow Faces Executive Departures Amid Internal Investigation

ServiceNow Inc. announced significant changes in its executive leadership as President and Chief Operating Officer CJ Desai has resigned. Additionally, Raj Iyer, the company's head of public sector thought leadership and business development, has also departed. Iyer, who joined ServiceNow in March 2023, previously served as the chief information officer of the U.S. Army.

The executive shake-up coincides with ServiceNow’s disclosure of its latest financial results. According to the company's statement, the departures are linked to an internal investigation prompted by a complaint regarding compliance issues. Specifically, the investigation centered on concerns related to the hiring of Iyer, the former Army CIO.

ServiceNow initiated the investigation, involving outside legal counsel, to validate the claims. The company has also been cooperating with relevant government entities. As a result of the ongoing investigation, the board determined that company policy was violated in the hiring process, leading to Iyer’s departure.

Additionally, ServiceNow announced that CJ Desai would resign from his roles at the company effective immediately, following a mutual agreement. The company emphasized that this was an isolated incident.

The company's March 10-Q filing references the internal complaint, indicating potential compliance issues during the procurement process related to a government contract. The investigation into these claims is ongoing, and the company has stated it cannot predict the timing, outcome, or impact of the investigation at this stage.

Raj Iyer, in a LinkedIn message to Barron’s, stated that his resignation was voluntary and aligned with his personal values. He expressed his desire to avoid having his integrity questioned due to the potentially compromised hiring process. Iyer emphasized his commitment to leading organizations through digital challenges and reaffirmed that his conduct had always been guided by integrity and dedication to public service.

ServiceNow's CEO, Bill McDermott, assured that the company is refining its hiring policies and procedures to ensure compliance and ethical practices. He characterized the incident as isolated and stressed that the company took decisive action to address it promptly.
